Welcome to LankaSriMart. These Terms of Use govern your access to and use of our website, marketplace services, product listings, supplier pages, B2B buyer features, enquiry tools, and related services.

By using this website, creating an account, placing an order, registering as a supplier, submitting an enquiry, or listing products on LankaSriMart, you agree to these Terms of Use. If you do not agree, please do not use the website.

1. About LankaSriMart

LankaSriMart is an online marketplace designed to help customers, retailers, wholesalers, importers, exporters, and suppliers discover and trade Sri Lankan products.

LankaSriMart may act as a marketplace platform connecting buyers and suppliers. Some products may be sold directly by LankaSriMart, while others may be listed or supplied by independent vendors, suppliers, exporters, or third-party sellers.

2. Definitions

In these Terms:

“Platform”, “Website”, “we”, “us”, or “our” means LankaSriMart and the LankaSriMart website.

“User”, “you”, or “your” means any visitor, customer, B2B buyer, supplier, vendor, seller, or account holder using the Platform.

“Customer” means a person or business browsing, enquiring about, or buying products.

“B2B Buyer” means a business buyer, wholesaler, retailer, importer, restaurant, shop, or other trade customer using the Platform for wholesale or business purchasing.

“Supplier”, “Vendor”, or “Seller” means any business, manufacturer, wholesaler, exporter, distributor, or individual approved to list or supply products through the Platform.

“Products” means goods listed, advertised, sold, or promoted on the Platform.

“Content” means text, images, product listings, prices, descriptions, reviews, supplier information, messages, documents, logos, and uploaded materials.

3. Eligibility and Accounts

You must be at least 18 years old to create an account or use the Platform for purchases, selling, supplier registration, or B2B enquiries.

If you use the Platform on behalf of a business, you confirm that you have authority to act for that business.

You agree to provide accurate, current, and complete information when registering or placing an order. You are responsible for keeping your login details secure and for all activity under your account.

We may suspend or close accounts where we reasonably believe there is fraud, misuse, false information, illegal activity, non-payment, abuse, or breach of these Terms.

4. Customers and B2B Buyers

Customers and B2B buyers are responsible for checking product details before placing an order or enquiry, including product name, weight, size, quantity, ingredients, allergens, packaging, origin, availability, delivery options, and price.

Wholesale prices, bulk discounts, and supplier quotations may be available only to approved B2B buyers or logged-in business customers.

Submitting a B2B enquiry does not guarantee stock availability, final pricing, shipping availability, import clearance, or supplier acceptance.

5. Suppliers and Vendors

Suppliers must provide accurate business details, product information, prices, stock status, images, packaging information, delivery details, and any required legal or regulatory information.

Suppliers are responsible for ensuring that their products comply with all applicable laws, including product safety, food safety, labelling, customs, export, import, tax, intellectual property, and consumer protection laws.

Suppliers must not list counterfeit goods, restricted goods, unsafe goods, misleading products, illegal products, or products they are not authorised to sell.

LankaSriMart may review, edit, reject, suspend, or remove supplier listings where we believe the listing is inaccurate, incomplete, misleading, unlawful, unsuitable, or damaging to the Platform.

6. Product Listings and Information

We aim to display product information as accurately as possible. However, product images, packaging, stock, descriptions, ingredients, weight, and prices may change.

Product images may be for illustration only unless specifically confirmed as the final product packaging.

Customers should always check product labels, allergens, expiry dates, instructions, origin, and packaging before use or resale.

Where a product is supplied by a third-party vendor, the vendor is responsible for the accuracy of its listing and fulfilment information.

7. Prices, Payments, and Taxes

Prices are shown in the currency displayed on the website. Prices may change without notice.

The final price, delivery fee, taxes, import duties, customs charges, or other fees may vary depending on delivery location, order size, supplier, and applicable laws.

Payment may be handled through third-party payment providers. By making payment, you agree to the applicable payment provider’s terms and security checks.

We are not responsible for delays, refusals, chargebacks, or technical issues caused by third-party payment providers, banks, card issuers, or payment gateways.

8. Orders, Availability, and Acceptance

Placing an order or submitting an enquiry does not always mean the order has been accepted.

An order is accepted only when we or the relevant supplier confirm acceptance, availability, and fulfilment.

We may cancel or refuse orders where products are unavailable, incorrectly priced, restricted, suspected fraudulent, undeliverable, or affected by supplier issues.

If an order is cancelled after payment, any refund will be handled according to the applicable refund policy and payment provider processing times.

9. Delivery, Shipping, Import, and Export

Delivery times are estimates only and may vary due to stock availability, supplier processing, courier delays, customs checks, import/export controls, weather, strikes, public holidays, or other events beyond our control.

For international, wholesale, export, or import orders, buyers and suppliers are responsible for checking applicable customs requirements, import licences, export rules, food regulations, duties, taxes, documentation, and local restrictions.

LankaSriMart does not guarantee that any product can legally be imported into every country or sold in every market.

10. Returns, Refunds, and Cancellations

Returns, refunds, and cancellations are handled according to our Return Policy and the applicable supplier’s terms where relevant.

Certain products may not be returnable, including perishable goods, opened food items, personalised goods, sealed hygiene-sensitive products once opened, or products restricted by law.

Refunds may be refused where products are used, damaged after delivery, returned late, missing parts, or not returned according to the Return Policy.

11. B2B Enquiries and Supplier Communication

The Platform may allow buyers to contact suppliers directly, submit product enquiries, request wholesale pricing, or ask about bulk orders.

Users must communicate honestly, professionally, and lawfully.

LankaSriMart is not responsible for agreements made directly between buyers and suppliers outside the Platform unless expressly confirmed by us in writing.

Users should keep records of quotations, product specifications, delivery terms, payment terms, and any commercial agreements.

12. Prohibited Activities

You must not use the Platform to:

• List, buy, sell, or promote illegal, counterfeit, stolen, unsafe, or restricted goods.

• Upload false, misleading, defamatory, abusive, offensive, or unlawful content.

• Misrepresent product origin, ingredients, certifications, stock, price, or supplier identity.

• Infringe another person’s intellectual property rights.

• Attempt fraud, chargeback abuse, phishing, hacking, scraping, spam, or unauthorised access.

• Circumvent Platform fees, payment systems, supplier rules, or security controls.

• Use the Platform in a way that damages LankaSriMart, users, suppliers, or third parties.

We may remove content, restrict access, suspend accounts, cancel orders, or take legal action if prohibited activity occurs.

13. Intellectual Property

All website design, branding, logos, text, graphics, layouts, software, and Platform content owned by LankaSriMart remain the property of LankaSriMart or its licensors.

You may not copy, reproduce, distribute, modify, scrape, sell, or exploit Platform content without written permission.

Suppliers confirm that they own or have permission to use all product images, logos, descriptions, documents, and materials they upload.

By uploading content, suppliers grant LankaSriMart a non-exclusive licence to display, promote, edit, resize, reproduce, and use that content for marketplace, marketing, operational, and promotional purposes.

14. Reviews, Messages, and Uploaded Content

Users may submit reviews, messages, product information, supplier details, or other content where Platform features allow.

You are responsible for content you submit.

We may remove or edit content that is false, misleading, abusive, spam, irrelevant, unlawful, promotional without permission, or otherwise unsuitable.

Reviews must be honest and based on genuine experience.

15. Data Protection and Privacy

We process personal data according to our separate Privacy Policy.

Our Privacy Policy explains what personal data we collect, why we collect it, how we use it, who we share it with, and your rights.

If you are based in the UK or we process personal data relating to people in the UK, UK data protection laws may apply. If we process personal data relating to people in Sri Lanka, Sri Lankan data protection laws may also apply.

16. Third-Party Links and Services

The Platform may contain links to third-party websites, payment providers, delivery services, social media platforms, supplier websites, or external tools.

We are not responsible for third-party websites, services, content, terms, privacy practices, payments, delays, or errors.

You use third-party services at your own risk.

17. Disclaimers

The Platform is provided on an “as available” basis.

We do not guarantee that the Platform will always be available, error-free, secure, uninterrupted, or free from viruses.

We do not guarantee that every supplier, product, listing, price, stock level, image, or description will always be accurate or current.

Nothing on the Platform is legal, tax, customs, import/export, food safety, or business advice. Users should obtain professional advice where needed.

18. Limitation of Liability

To the fullest extent permitted by law, LankaSriMart is not liable for indirect loss, loss of profit, loss of business, loss of data, loss of goodwill, supplier failure, courier delay, customs delay, payment provider error, or third-party action.

Where we are legally responsible, our liability will be limited to the amount paid by you for the relevant order or service, unless the law does not allow such limitation.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

19. Indemnity

Suppliers and business users agree to indemnify LankaSriMart against claims, losses, damages, costs, penalties, and expenses arising from inaccurate listings, unlawful products, intellectual property infringement, regulatory breaches, customs issues, tax issues, fraud, or breach of these Terms.

20. Suspension and Termination

We may suspend, restrict, or terminate your account or access to the Platform at any time if we believe you have breached these Terms, broken the law, misused the Platform, harmed other users, or created risk for LankaSriMart.

You may stop using the Platform at any time.

Termination does not affect rights or obligations that arose before termination, including payment obligations, refund obligations, legal claims, or supplier responsibilities.

21. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a new “Last updated” date.

Continued use of the Platform after changes means you accept the updated Terms.

22. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, unless mandatory consumer protection laws in another jurisdiction apply.

If a dispute arises, please contact us first so we can try to resolve it informally.

If the dispute cannot be resolved informally, it may be handled by the courts of England and Wales, unless applicable law gives you the right to bring a claim elsewhere.
